1. About these terms
These Terms of Service (the “Terms”) apply when you visit Loopsbox, request access, create or use a Loopsbox account, or otherwise use general services provided by Loopsbox B.V. (“Loopsbox”, “we”, “us” or “our”). Loopsbox is a Dutch music company whose principal service is music distribution, supported by catalog, rights and royalty administration, alongside record-label and music-publishing activities.
These Terms govern the general platform. When you create an account, you accept the version made available at registration. If you act for a company, label or team, you must be authorised to bind the relevant organisation. Mandatory rights remain applicable.
External-account integrations are optional. You can use music distribution without installing Plugin Store apps or connecting social-media accounts. If you choose an optional app, the separate Plugin Store Terms and applicable provider conditions govern that addition.
2. Access and accounts
Loopsbox may operate on an invitation-only or approval basis. An invitation or approved access request is personal to the intended recipient unless we expressly agree otherwise.
You must provide accurate, current and complete information and keep it up to date. You are responsible for activity under your account and for keeping login credentials confidential. Tell us promptly if you believe your account has been accessed without permission.
Account owners are responsible for inviting, authorising and removing team members. Each user must act within their Loopsbox access rights and any rights granted by an external connected account. You may not transfer accounts or bypass access, eligibility or security controls.
3. Acceptable use
You may use Loopsbox only for lawful purposes and in a way that does not harm the service, other users, rightsholders or third parties. You must not:
- submit false, misleading, fraudulent or impersonating information;
- upload or use material you do not have the necessary rights or permissions to use;
- attempt to circumvent security, access controls, usage limits or technical protections;
- interfere with, probe, scrape, reverse engineer or overload the service except where applicable law expressly permits it;
- use the service for fraud, artificial streaming, manipulation, infringement, malware, harassment or other unlawful conduct.
4. Your content and information
You retain ownership of content and information you submit to Loopsbox, subject to any separate rights you grant under a Distribution Agreement or other service-specific agreement.
You give us permission to host, store, process, reproduce and technically transform submitted information only as reasonably necessary to operate, secure and support the service and to provide services you request.
You are responsible for ensuring that metadata, artwork, audio, credits, ownership information and other material you provide is accurate and does not infringe third-party rights.
5. Loopsbox Distribution — our principal service
Loopsbox Distribution supports artists and labels in preparing releases, managing catalog information and rights declarations, requesting delivery to music services, and administering royalty and payout information where applicable. Music distribution, rights clearance, release delivery, takedowns, royalty calculations, provider adjustments, payout disputes and suspected artificial streaming are governed by the Distribution Agreement separately accepted for that service. These general Terms alone do not authorise a royalty hold, forfeiture or penalty.
Nothing on the public website is a guarantee that a release will be accepted, delivered, remain live at a music service, achieve a particular number of streams, generate revenue or be approved by a third-party platform.
6. Plans, fees and subscriptions
Paid plans and optional services, where offered, are subject to the price, billing period, taxes, included usage, renewal conditions and cancellation information presented before checkout. A free installation or invitation does not authorise an undisclosed charge.
Any recurring payment, trial conversion, cancellation, refund or statutory withdrawal right is governed by the applicable purchase information and mandatory law. Disconnecting an external account does not by itself cancel a separate subscription.
7. Third-party services
To provide Loopsbox Distribution, we may work with music distributors, streaming services and other delivery, rights, reporting or payment partners. We also use hosting, communications, payments, verification, analytics and security providers for relevant operations. Third-party providers may have their own terms and availability requirements.
Optional Loopsbox Plugin Store. When you choose to connect an external account, the Plugin Store Terms and that provider’s conditions apply to the optional feature, not automatically to Loopsbox music distribution. These may include the conditions of Google/YouTube, Instagram/Meta, TikTok or Spotify. If you use YouTube API Services through Loopsbox, you agree to be bound by the YouTube Terms of Service. The separate Plugin Store Terms describe provider-specific requirements and authorised actions.
We are not responsible for changes made independently by a third-party platform, including store policies, delivery requirements, availability, reporting schedules or removals, except to the extent responsibility cannot be excluded under applicable law.
8. Availability, maintenance and changes
We aim to keep Loopsbox reliable, but we do not promise uninterrupted or error-free availability. We may perform maintenance, fix security issues, change or discontinue features, or update technical requirements.
We may amend these Terms for identifiable legal, security, provider-related or operational reasons. We will identify the effective version and give advance notice of material changes, provide the revised text and honour termination or other rights where required by law or the applicable contract. Changes do not retrospectively remove accrued rights without a lawful contractual basis.
9. Suspension and termination
We may proportionately restrict or suspend affected access where reasonably necessary for security, law, provider requirements, payment failure, a material breach or a documented suspicion of fraud or infringement. Where appropriate, we will explain the action and how to contact us for review, except where doing so would compromise security or legal obligations.
Termination of a general Loopsbox account does not automatically determine how active releases, outstanding statements, royalties or takedowns are handled. Those matters are governed by the applicable distribution or commercial agreement.
10. Liability
Nothing in these Terms limits liability or statutory remedies where doing so is prohibited, including applicable consumer rights. Loopsbox does not guarantee the independent actions, availability, analytics or commercial outcomes of external music or social platforms. Any enforceable limitation of liability must be assessed under the applicable agreement and law.
Where liability may lawfully be limited, our responsibility will be assessed in light of the service involved, the agreement governing that service and the circumstances giving rise to the claim. Service-specific agreements may contain more specific liability provisions.
11. Governing law
These Terms are governed by Dutch law. Any mandatory rights you have under applicable consumer or data-protection law remain unaffected. Unless mandatory law requires otherwise, disputes relating to these Terms will be submitted to the competent courts in the Netherlands.
