1. Scope and acceptance
This Distribution Agreement (the “Agreement”) sets additional conditions for music distribution services supplied by Loopsbox B.V. (“Loopsbox”). It supplements the Terms of Service only for an account or release covered by a separately accepted distribution arrangement. It does not govern optional Workspace apps or general website use.
Publication of this document, general account registration or mere viewing of this page does not by itself form or amend a distribution contract, transfer rights or authorise withholding royalties. The applicable edition must be presented and expressly accepted by an authorised party in the relevant distribution contracting workflow, or otherwise agreed validly. Earlier agreements and accrued rights are not silently replaced.
2. Content ownership and rights declarations
You retain the rights you lawfully own. You confirm that you have the authority, licences, consents and contributor arrangements necessary to deliver each recording, composition, sample, artwork, credit and other material. This includes permissions for any third-party or AI-assisted material where required. You must identify the correct owners, writers, performers and other rightsholders and provide accurate metadata.
You must promptly report material errors, disputes, competing claims or changes in your authority. Loopsbox may request reasonable supporting records and may decline affected deliveries until material rights questions are resolved. We do not assume ownership of a recording by receiving an upload.
3. Limited distribution licence
For a release covered by an accepted Agreement, you grant Loopsbox a non-exclusive, worldwide licence, for the duration needed to perform the distribution service, to store, reproduce, technically adapt, encode, transmit, deliver, display and make the content available through the distribution providers selected or authorised for that release. The licence includes only such sublicensing to distribution partners as is reasonably necessary for that purpose.
This licence does not transfer ownership or authorise uses unrelated to the requested distribution service. Following a valid termination or takedown request, necessary technical copies, provider processing, royalty reporting, claims handling and mandatory retention may continue for a reasonable period as described below.
4. Delivery, availability and third-party rules
Distribution depends on provider eligibility, metadata, rights verification and platform policies. Stores may reject, delay, restrict, remove or amend the visibility of a release. We do not promise acceptance, uninterrupted availability, a particular number of streams or earnings. Delivery and removal requests can take time to propagate and are not automatically completed when an account is closed.
Current platform policies relevant to the release also apply. Where a provider requires urgent action to comply with applicable law or a documented policy, we may proportionately restrict the affected content and explain the reason where appropriate.
5. Artificial streaming and prohibited activity
You must not arrange, commission, encourage or knowingly benefit from automated or manipulated streaming, fake engagement, deceptive playlist placement, false identity or ownership information, unauthorised uploads, payment fraud or other activity contrary to law or the applicable provider policies. A paid promotion or third-party campaign does not excuse such activity.
Unusual activity or an unverified report is not, by itself, a final finding that you committed fraud. We assess available information and give you an appropriate opportunity to respond where doing so is lawful and practicable.
6. Royalty reports, fees and payouts
Reported plays and audience statistics are not equivalent to payable royalties. Statements depend on amounts and adjustments actually reported or credited by the relevant distribution partner, the accepted commercial fee schedule, currency and tax treatment, and any valid rights or payment instructions. Provider reports may arrive late or be corrected later.
Distribution fees or commissions must be identified in the applicable offer or separately agreed schedule. We do not introduce an undisclosed charge through this document. Payouts may depend on verified ownership, payment identity, legally required checks, available funds and valid payout details. Uncontested amounts are not automatically affected by an unrelated disputed release.
7. Grounds for a fraud or rights case
We may open a documented review where there are specific, objectively reasonable grounds, such as a provider fraud report, a substantiated rights complaint, inconsistent payout ownership, suspicious transactions or identified artificial-streaming indicators. A case should record its source, relevant recordings, affected reporting periods, supporting evidence, responsible reviewer, actions and review dates.
Opening a case does not itself establish wrongdoing or entitlement to retain funds. Access to case information must be limited to authorised personnel, with appropriate protection for confidential provider reports and personal data.
8. Provisional royalty holds
Where justified by documented grounds and permitted by this accepted Agreement and applicable law, Loopsbox may temporarily withhold only amounts reasonably connected to the identified suspected artificial streams, material rights dispute, provider reversal, fraudulent payout instruction or comparable specific risk. The hold must be proportionate in scope and amount. An account-wide restriction requires separate, documented grounds showing that a narrower measure is insufficient.
A provisional hold is neither a finding of fraud nor a forfeiture. We will not treat disputed earnings as our revenue merely because a review is open. Unaffected, otherwise payable balances should remain available under the normal payout process, subject to legitimate legal or provider constraints.
9. Notification, review and objection
We will ordinarily inform the affected account without undue delay of the hold's general reason, scope, starting date and review route, unless prohibited by law or where disclosure would materially compromise a legitimate investigation. You may provide evidence or contest the action through our support contact. We will consider relevant responses and correct material errors. A reconsideration should, where practicable, be handled by a different authorised reviewer.
Our operational target is to conclude reviews within 90 calendar days, with documented reassessment at least every 30 days. The 90-day target is not an automatic confiscation period or a promise that an external provider must finish by then. If unresolved provider action, a legal process or specific outstanding evidence reasonably prevents resolution within 90 days, we will document the reason for extending the review, provide an appropriate update, and reassess the affected amounts at least every 30 days. Amounts no longer reasonably disputed will be released through the ordinary payment process.
10. Corrections, recovery and external charges
Amounts which a provider did not pay, legitimately reversed or established as non-payable are not guaranteed to be paid by Loopsbox. We may correct statements and, where legally and contractually permitted, recover proven overpayments or offset an established debt against payable sums after giving a reasonably clear explanation.
A platform charge, reimbursement or loss may be passed on only where attributable to a demonstrated breach or agreed responsibility, reasonably documented, permitted by law and covered by the applicable accepted commercial or contractual terms. We will not impose arbitrary flat penalties, speculative damages or an undisclosed fee. You may dispute an incorrect charge through the case review process.
11. Removal and end of service
You may request removal of eligible releases subject to existing agreements and rights. We may suspend new delivery or request removal of affected material where reasonably necessary to respond to rights disputes, serious or repeated policy breaches, provider directions, law or material contract violations. Where appropriate we provide a reason and review route.
Termination does not extinguish pending lawful royalty accounting, existing rights claims, provider reporting and corrections, payment obligations or records lawfully retained for those purposes. We will not represent a takedown as instantaneous or as deletion of all provider copies.
12. Third-party claims and responsibility
Both parties remain responsible for their own contractual and legal obligations. If your material breach of a rights warranty or deliberate prohibited conduct causes a documented third-party claim, you may be responsible, to the extent permitted by law, for reasonably incurred and demonstrable losses or defence costs attributable to that breach. We will provide available details and an opportunity to respond where reasonably practicable.
Loopsbox remains responsible for its own proven breaches and liabilities that cannot be excluded. Nothing in this Agreement overrides mandatory rights or permits an unreasonable waiver of remedies.
13. Evidence, privacy and retention
Distribution accounting, acceptance records, rights evidence and case material may be processed to perform the agreement, protect lawful interests and meet applicable obligations. We keep records only as reasonably necessary under a documented retention policy, restrict access, and retain historic accepted editions where justified. The Privacy Policy explains relevant personal-data rights, recipients and retention criteria.
14. Versions, changes and governing law
This document carries its own version, separate from general platform and Plugin Store terms. A revised page does not retroactively amend an existing distribution contract. Any material contract change requires a valid basis, appropriate notice and acceptance where required. Dutch law applies, subject to mandatory protections and any applicable agreed dispute-resolution terms.
